HOW TO ENTER:  The Energizer® Keep Going® Hall of Fame Contest (the “Contest”) sponsored by Energizer (the “Sponsor”) starts 12:00:00 pm (Noon) Eastern Time (ET) on 2/4/08 and ends 11:59:59 pm ET on 3/21/08 (the “Entry Period”). The person who submits the Entry will be referred to herein as “Nominator”. To enter, go online to www.energizer.com\halloffame anytime during the Entry Period and follow the on-screen instructions: [1] Complete the registration form by providing the information required; [2] in the space provided on the Entry form write an essay of between 100 and 300 words describing yourself or another individual who should be nominated (the “Nominee”) to the upcoming Energizer® Keep Going® Hall of Fame.   [3] Attach a good quality color photograph of the Nominee alone using either a JPEG or GIF electronic format that does not exceed 5 MB in size.  The inclusion of the photograph is optional in the Entry submission phase. Photographs submitted may be posted online at www.energizer.com\halloffame during the Entry Period.  Any Nominee advancing to the Semifinalist stage will be required to submit the photograph for posting online.  In addition, you may upload a visual presentation which will demonstrate the determination, perseverance, passion and charisma of your Nominee. The visual presentation can be created as a mpeg, .wmv or .mov file and may not be bigger than 20 MB in size or longer than 3 minutes in duration. Neither the visual presentation nor the photograph will be used in the judging process. Once you have completed your Entry, click the “Submit” button to enter. “Entry” is defined, for purposes of this contest, as including both the Entry Form and the written essay or visual presentation of the essay submitted with it. All entries must be submitted by 11:59:59 pm ET on 3/21/08. Nominators and Nominees must be legal residents of the 50 United States or District of Columbia (“D.C.”). Nominator must be 12 years of age or older at time of entry.  

Special Instructions For Nominators And Nominees Under 13 Years Of Age.  If either or both the Nominator or Nominee is under 13 years of age, nomination and contest Entry cannot be submitted online.  Upon completing the requested initial information online at www.energizer.com\halloffame, Nominator will be served a Parental Consent Form and official contest Entry Form via a printable document file (“PDF”).  Nominator must download the PDF, print out a hard copy, complete all requested information on the Parental Consent Form including parental signature of Nominee and/or Nominator, and mail along with essay to the following address:  Energizer® Keep Going® Hall of Fame Contest P.O. Box 4316, Manhasset, NY 11030-4316.  Mail-in entries must be postmarked by 3/21/08 received by 3/28/08. Any Entry from a Nominator under 13 years of age or Nomination of a Nominee under 13 years of age not accompanied by the signed parental consent form will be void. If you are chosen as a Semifinalist (see judging details below) you must submit a photograph of the Nominee, in either JPG or GIF electronic format that does not exceed 1.5mg in size. Visual presentation of essay may be submitted in VHS, DVD, VHSc, 8mm or Hi8 format, must be no longer than 3 minutes in total length and must be clearly and legibly labeled with your name and address.  

In its quest to advance the contest theme of “Keep Going”, the Sponsor seeks nominees who capture the determination, perseverance, passion and charisma of the Energizer Bunny®. Your essay must be between one hundred (100) and three hundred (300) words or your Entry will be disqualified. Essay must be written in English and visual presentation must be submitted in English. The Nominator and the Nominee may be the same person.  Nominators may nominate (enter) a Nominee (including themselves) only once.  Nominees may receive additional nominations (entries) so long as each Entry is submitted separately and by a different Nominator.

Each Entry must be Nominator’s own original creation, executed solely by Nominator, may not have won any previous award, been submitted in any other competition and must be a previously unpublished and previously un-produced work. Modifying, enhancing or altering a third party’s pre-existing work does not qualify as Nominator’s original creation. The Visual Presentation must not be the subject of any actual or threatened litigation or claim. Entry must be in keeping with Sponsor’s image and may not be obscene, indecent or otherwise offensive, as determined by judges or Sponsor in their sole discretion, nor can they defame or invade publicity rights or privacy of any person, living or deceased, or otherwise infringe upon any person’s personal or proprietary rights, including but not limited to intellectual property rights, and the right to submit or use same shall not be restricted. Any Nominator whose submitted material contains elements not owned by Nominator (such as, but not limited to company or team trademarks) will be disqualified. A nominator who submits a Visual Presentation may not be a member of the Screen Actors Guild (SAG). Entries that are incomplete or do not comply with these Official Rules in any way are subject to disqualification. No correspondence regarding entries will be acknowledged or entered into with Nominator except as provided herein. Submission of an Entry, grants Sponsor the right to use, publish, adapt, assign, edit, dispose of, and/or modify such Entry and the concepts embodied therein in any way, in commerce and in any and all media worldwide, without limitation or compensation to the Nominator and Nominee (or their parent/legal guardian if either is a minor) and may be required to sign a release to that effect. Submission of an Entry and photograph further constitutes the Nominator’s (or his/her parent’s or legal guardian’s) consent to irrevocably assign and transfer to the Sponsor any and all rights, title and interest in and to the Entry and photograph and the concepts embodied therein. Such rights, title and interest shall include, but are not limited to, all intellectual property, sales and licensing rights. Entries and photographs become the sole property of the Sponsor and will not be returned. If a Nominator nominates someone other than him/herself, and the entrant’s Entry is selected as a Semifinalist, the Nominator will be required to provide, in a form satisfactory to the judges and Sponsor, appropriate legal release(s) for use of the Nominee’s and any other third party’s likeness/photograph in connection with this Contest. Personal information including name, address, city, state, zip, email, and telephone number collected from an Nominator will be used only for the purpose of judging the Contest and to notify the Nominator in the event his/her Entry is chosen as a Semifinalist or as the Winner, and will not be re-used, sold or shared in any manner by Energizer (the “Sponsor”), Marden-Kane, Inc. (the “Administrator”), or any third parties unless Nominator has opted-in to receive additional information and promotional materials from Sponsor or third party.  Once the promotion has ended all information supplied by entrants who opt not to receive additional information will be removed from the database.

JUDGING/NOTIFICATION - Semifinalists: All eligible entries will be judged by a panel of judges under the supervision of the contest administrator on the basis of the following criteria: Appropriateness to contest theme (40%); Sincerity (Credibility) 40%, Clear expression of ideas in essay 20%. The top scoring one hundred (100) essays judged using the above judging criteria will be deemed a “Semifinalist.” In the event of a tie, the essays involved in the tie will be reviewed by an additional qualified judge who will serve as a tiebreaker and who will evaluate essays according to the above judging criteria.

Finalists: The one hundred (100) Semifinalists will be judged using the above criteria by a second panel of judges including representatives from Sponsor and its marketing agencies.  The top scoring ten (10) essays judged from among the Semifinalists will be deemed a Finalist. (Status as a Finalist will be subject to verification of eligibility.) In the event of a tie in this phase of judging, the essays involved in the tie will be reviewed by an additional judge who will serve as a tiebreaker and who will evaluate essays according to the above judging criteria.

Public Voting: From 12:00 Noon ET on 6/12/08 until 11:59 PM ET on 7/25/08 (“Voting Period”) the ten (10) Nominees described in the essays and photos will be posted at www.energizer.com\halloffame. Visitors will be able to vote on who they feel should be nominated to the upcoming Energizer® Keep Going® Hall of Fame. The Nominee with the highest number of valid votes at the end of the Voting Period will be deemed the Grand Prize Winner (subject to verification).  For each Energizer® Keep Going® Hall of Fame vote cast during the public voting period one dollar ($1) up to a total of $10,000 will be donated to the Cal Ripken Sr. Foundation.  Voting is limited to one (1) vote per person per day.  Nominees may vote for themselves. All online voting will be under the supervision of the Sponsor whose decisions are final in all matters relating to this Contest. The 100 Semifinalists will be notified by mail and/or e-mail and/or telephone on or about 4/16/08. The 10 Finalists will be notified by mail and/or e-mail and/or telephone on or about 6/6/08. The Grand Prize Winner will be notified by overnight courier, mail, e-mail and/or telephone on or about 8/18/07. Becoming a Finalist is subject to validation and verification of eligibility and compliance with all terms and conditions set forth in these Official Rules. No prizes will be awarded for having achieved Semifinalist or Finalist status. Only one prize- -the Grand Prize - - will be awarded as described herein.  Prize awarded to Nominee.

All contest Finalists and the Nominees named in their entries, if Nominator and Nominee are not the same person (or his/her parent or legal guardian if appropriate) will be required to complete and sign an Affidavit of Eligibility and Liability Release, and where legal, a Publicity Release, which must be returned within 10 days of initial issuance of written prize notification. All contest Semifinalists and the Nominees named in their entries, if Nominator and Nominee are not the same person (or his/her parent or legal guardian if appropriate) will be required to complete and sign a (where legal) Publicity Release, which must be returned within 10 days of initial issuance of written prize notification. If such documents are not returned within the stated timeframe or are returned as undeliverable, the corresponding Semifinalist will be disqualified and an alternate Semifinalist will be determined based on the judging criteria and notified as per the procedures describe above. Grand Prize Winner must also submit a Travel Release form prior to traveling.

PRIZE:  Hall Of Fame Contest Winner: One (1) Grand Prize (the nominee with the highest number of valid votes) will receive the following: a trip for two (2) to St. Louis, Missouri, to be inducted into the Energizer® Keep Going® Hall of Fame plus $10,000 cash, a winner’s posting on the Energizer site (at Sponsor’s sole discretion) and a Keep Going® Award. Trip includes roundtrip coach class air transportation for Grand Prize Winner and one (1) guest from a major airport closest to the winner’s home (as determined by Sponsor) to St. Louis and 3 days/2 nights hotel accommodations (one room, double-occupancy) and a $5,000 donation made by Energizer on behalf of the winner to a charity of winner’s choice. Approximate Retail Value of Grand Prize package, $18,000.  Actual value of prize package may vary based on dates of travel and point of departure. Cash prize will be awarded in the form of a check. Winner and guest must travel together on the same itinerary on dates specified by Sponsor, or prize will be forfeited in its entirety and awarded to an alternate winner (the Nominee who received the next highest number of valid votes). Certain restrictions/blackout dates may apply. Winner and guest must possess valid ID or other required documentation needed to travel. All other expenses not stated herein as part of the prize, including but not limited to ground transportation and meals, are the winner’s sole responsibility. Travel guest must be the age of majority in his/her state of residence or parent/legal guardian of winner, and must sign and return a travel release prior to the issuance of travel documents.  If winner is a minor in his/her state of residence, the prize will be awarded on the winner’s behalf to a parent or legal guardian, who must sign all required documents and accompany winner on trip as his/her travel guest.   The donation to charity is subject to review and approval by Energizer.  Charitable organization must have 501-3C status.  Photographs of the winner will be taken and will become the property of the Sponsor; winner will be required to execute a release to that effect. Winner is responsible for payment of all applicable income taxes on prize.  

ELIGIBILITY:  Nominators and Nominees must be legal residents of the 50 United States or District of Columbia (“D.C.”). Nominator must be 12 years of age or older at time of entry. Employees of Energizer, its parent company, affiliates, subsidiaries and advertising and promotion agencies, including but not limited to Marden-Kane, Inc., and members of the immediate families (defined for these purposes as including spouse, parents, children, and siblings and each of their respective spouses) or households of any of the above are NOT eligible to enter (as a nominator with the exception of employees of Energizer, its parent company, affiliates, subsidiaries) or win (as a nominee).  Void outside the 50 United States, D.C. and where prohibited by law. Subject to all applicable federal, state and local laws and regulations. By participating and/or accepting the prize, Nominators/Nominees agree to be bound by these Official Rules and to accept decisions of the Sponsor as final in all matters relating to this Contest.

CONDITIONS OF ENTRY: By entering and/or accepting the prize, all participants agree that Energizer, its parent company, affiliates, subsidiaries and advertising and promotion agencies, including but not limited to Marden-Kane, Inc., and the officers, directors, and employees of each of the foregoing (“Releasees”) shall have no liability whatsoever for any injuries, losses, or damages of any kind resulting from or in connection with the acceptance, possession, use or misuse of the prize or participation in this Contest or in prize-related activities (including, without limitation, any travel related hereto). Participants further agree that the Releasees are not responsible for the following: (i) electronic transmissions, entries or submissions that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected or not received by Sponsor or its agents for any reason, (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures or human error that may occur in the transmission, receipt or processing of entries or related materials, or for destruction of or unauthorized access to, or alteration of, entries or related material, (iii) failed or unavailable hardware, network, software or telephone transmissions, damage to entrants’ or any person’s computer and/or its contents related to or resulting from participation in this Contest, or causes beyond Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Contest; (iv) any entries submitted in a manner that is not expressly allowed under these rules (all such entries will be disqualified); (v) printing errors in these Official Rules or in any advertisements or correspondence in connection with this promotion: or (vi) late, lost or stolen mail. Sponsor reserves the right, in its sole discretion, to cancel or suspend this Contest should virus, bugs, fraud or other causes beyond the control of the Sponsor corrupt the administration, security or proper play of the Contest and in such case to award the prize based on the eligible, non-suspect votes received as of the date of cancellation/suspension.  CAUTION:  ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS.  SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.    

GENERAL CONDITIONS:  By accepting the prize, the winner (or his/her parent or legal guardian if appropriate) consents to the use of winner’s name, photograph, other likenesses and limited biographical information for advertising, promotional or trade purposes, including but not limited to online announcements, in commerce and in all media worldwide without limitation or additional compensation, except where prohibited by law.  

WHO WON?  For the name of the Grand Prize winner, available after 8/18/08, send a self-addressed stamped envelope to: Energizer® Keep Going® Hall of Fame Contest Winner, c/o Marden-Kane, Inc., 36 Maple Place, Manhasset, NY 11030.  Requests for winners name must be received by 8/1/08. Residents of Vermont may omit return postage.
