OFFICIAL RULES
NO PURCHASE NECESSARY

1 - DESCRIPTION: We believe there’s a little Energizer Bunny^® in every single one of us. The Energizer Keep Going^® Hall of Fame celebrates extraordinary people who bring unstoppable energy to their quest to make a difference … now that’s positivenergy™. From perseverance and determination to that will to go on, the Energizer Keep Going® Hall of Fame was created to share those stories and inspire others to also make a difference in their communities and/or around the world. 

2- ENTRY PERIOD: The Energizer Keep Going^® Hall of Fame Contest (the “Contest”) sponsored by Energizer Battery, Inc (the “Sponsor”) starts 1:00:00 pm Eastern Time (“ET”) on 1/10/11 and ends 11:59:59 pm ET on 2/4/11 (the “Entry Period”). The person who submits the Entry will be referred to herein as “Nominator.”  The person who the entrant is nominating will be referred to herein as the “Nominee.” You may nominate yourself, subject to the conditions and limitations on eligibility set forth in these Official Rules.

3 - ELIGIBILITY: Nominators and Nominees must be legal residents of the 50 United States or District of Columbia (“D.C.”). Nominator must be 12 years of age or older at time of entry. Employees of Energizer, its parent company, affiliates, subsidiaries and advertising and promotion agencies, including but not limited to Marden-Kane, Inc., and members of the immediate families (defined for these purposes as including spouse, biological, adoptive and step-parents, children, and siblings and each of their respective spouses, regardless of where they reside) or households (whether related or not) of any of the above are NOT eligible to be a nominee and/or win a prize; however, such persons ARE eligible to nominate someone, as long as the nominee is NOT an excluded employee or immediate family member of an employee, as defined above. Void outside the 50 United States, D.C. and where prohibited by law. By participating and/or accepting a prize, Nominators/Nominees agree to be bound by these Official Rules and to accept decisions of the Sponsor as final in all matters relating to this Contest.

During the Contest Period there are a series of Contest-related “events” (explained in detail in the Rules below), which start and end on or about the dates and times noted below (Note: All dates/times are 2011/Eastern):

4 - HOW TO ENTER: To enter (as “Nominator”), go online to www.energizer.com/halloffame anytime during the Entry Period and follow the on-screen instructions and the instructions herein: [1] Complete the registration form by providing the information required; [2] In the space provided on the Entry form create an original essay of between 50 and 350 words describing yourself or another individual who should be nominated (the “Nominee”) for induction into the upcoming Energizer Keep Going^® Hall of Fame because of what he/she does to bring unstoppable energy to their quest to make a difference in their community and around the world; [3] (Optional in this phase of the Contest.)  Attach a good quality color photograph of the Nominee alone using a JPEG format that does not exceed 1.5 MB in size.  Photographs submitted may be posted online at www.energizer.com/halloffame during the Entry Period.  Please note: Although submission of the Nominee’s photograph is optional in the entry phase of the Contest, any Nominee who is chosen to advance to the Semifinalist stage (as described herein) will be required to submit such a  photograph for posting online.  The photograph will not be used in the judging process but may be taken into consideration by the public during the public voting events. Once you have completed your Entry, click the “Submit” button to enter. An “Entry” is defined, for purposes of this Contest, as including both the Entry Form and the original essay. All entries must be submitted by 11:59:59 pm ET on 2/4/11. Nominators and Nominees must be legal residents of the 50 United States or District of Columbia (“D.C.”). Nominator must be 12 years of age or older at time of entry.  Nominees must be individuals only; no group nominations allowed.

Special Instructions For Nominators And Nominees Under 13 Years Of Age.  If either or both the Nominator or Nominee is under 13 years of age, nomination and contest Entry cannot be submitted online.  Upon completing the requested initial information online at www.energizer.com/halloffame, Nominator will be served a Parental Consent Form and official contest Entry Form via a printable document file (“PDF”).  Nominator must download the PDF, print out a hard copy, complete all requested information on the Parental Consent Form including parental signature of Nominee and/or Nominator as applicable, and mail along with essay to the following address:  Energizer Keep Going^® Hall of Fame Contest P.O. Box 601, Garden City, NY 11530-0601.  Mail-in entries must be postmarked by 2/4/11 and received by 2/11/11. Any Entry from a Nominator under 13 years of age or Nomination of a Nominee under 13 years of age not accompanied by the signed parental consent form will be void. If you are chosen as a Semifinalist (see judging details below) you must submit a photograph of the Nominee, in a JPG electronic format that does not exceed 1.5 MB in size.  

5 - ENTRY REQIUIREMENTS: Your essay must be between fifty (50) and three hundred fifty (350) words (no more and no less) or your Entry will be disqualified. Essay must be written in English. Nominators may nominate (enter) a particular Nominee (including themselves) only once.  Nominees may receive additional nominations (entries) so long as each Entry is submitted separately and by a different Nominator.  Nominators may submit nominations for as many different Nominees as they wish.

Each Entry must: be Nominator’s own original creation, executed solely by Nominator; not have won any previous award; not have been submitted in any other competition; and be a previously unpublished and previously un-produced work. Modifying, enhancing or altering a third party’s pre-existing work does not qualify as Nominator’s original creation. Entry must be in keeping with Sponsor’s image and may not be obscene, indecent or otherwise offensive, as determined by judges or Sponsor in their sole discretion, nor can Entry defame or invade publicity rights or privacy rights of any person, living or deceased, or otherwise infringe upon any person’s personal or proprietary rights, including but not limited to intellectual property rights, and the right to submit or use Entry must not be restricted in any way. Any Nominator whose submitted material contains elements not owned by Nominator (such as, but not limited to company or team trademarks) will be disqualified. Entries that are incomplete or do not comply with these Official Rules in any way will be disqualified. No correspondence regarding entries will be acknowledged or entered into with Nominator except as provided herein. Submission of an Entry grants Sponsor the right to use, publish, adapt, assign, edit, dispose of, and/or modify such Entry and the concepts embodied therein in any way, in commerce and in any and all media worldwide, without limitation or compensation to the Nominator and Nominee (or their parent/legal guardian if either is a minor) and each may be required to sign a release to that effect. Submission of an Entry and photograph further constitutes the Nominator’s (or his/her parent’s or legal guardian’s) consent to irrevocably assign and transfer to the Sponsor any and all rights, title and interest in and to the Entry and photograph and the concepts embodied therein. Such rights, title and interest shall include, but are not limited to, all intellectual property, sales and licensing rights. Entries and photographs become the sole property of the Sponsor and will not be returned. If a Nominator nominates someone other than him/herself, and the entrant’s Entry is selected as a Semifinalist, the Nominator will be required to provide, in a form satisfactory to the judges and Sponsor, appropriate legal release(s) for use of the Nominee’s and any other third party’s likeness/photograph in connection with this Contest. Personal information including name, address, city, state, zip, email, and telephone number collected from a Nominator will be used only for the purpose of judging the Contest and to notify the Nominator in the event his/her Entry is chosen as a Semifinalist or as the Winner, and will not be re-used, sold or shared in any manner by Energizer (the “Sponsor”), Marden-Kane, Inc. (the “Administrator”), or any third parties unless Nominator has opted-in to receive additional information and promotional materials from Sponsor or third party.  Once the promotion has ended, all information supplied by Nominators who opt not to receive such additional information will be removed from the Sponsor’s and Administrator’s respective databases.

6 - JUDGING: During the Judging/Selection Periods, all eligible entries will be judged by a panel of qualified judges (including representatives from Sponsor and its marketing agencies) under the supervision of the Contest Administrator on the basis of the following criteria:

• Appropriateness to contest theme 40%
• Sincerity (Credibility) 40%
• Clear expression of ideas in essay 20%

One Hundred (100) Semifinalists: The top-scoring one hundred (100) entries judged using the above judging criteria in the initial Judging/Selection Period will each be deemed a “Semifinalist.” In the event of a tie, the entries involved in the tie will be reviewed by an additional qualified judge who will serve as a tiebreaker and who will evaluate such entries according to the above judging criteria.

Ten (10) Finalists: The ten (10) Finalists (from the 100 Semifinalists) will be determined as follows:
One (1) Finalist will be determined from Facebook Public Voting.  See Rules #8 below for timing and details.
Nine (9) Finalists will be judged using the above criteria by a second panel of qualified judges including representatives from Sponsor and its marketing agencies.

The top scoring nine (9) entries judged from among the Semifinalists along with the one (1) top-ranking Facebook Public Voting Nominee will each be deemed a “Finalist”. In the event of a tie in this phase of judging, the entries involved in the tie will be reviewed by an additional qualified judge who will serve as a tiebreaker and who will evaluate such entries according to the above judging criteria. Becoming a Finalist is subject to validation and verification of eligibility and compliance with all terms and conditions set forth in these Official Rules.

7 - WINNER NOTIFICATION: The 100 Semifinalists will be notified by mail, overnight courier, e-mail and/or telephone on or about 2/24/11. The 10 Finalists will be notified by mail, overnight courier, e-mail and/or telephone on or about 3/28/11. The Grand Prize Winner will be notified by overnight courier, mail, e-mail and/or telephone on or about 5/27/11.  All Contest Semifinalists and Finalists, and the Nominees named in their entries, if Nominator and Nominee are not the same person (or his/her parent or legal guardian if appropriate) will be required to complete and sign a (where legal) and Affidavit of Eligibility and Liability, and where legal, a Publicity Release, which must be returned within seven (7) days of initial issuance of written prize notification.  If such documents are not returned within the stated timeframe or are returned as undeliverable, the corresponding Semifinalist or Finalist will be disqualified and an alternate Semifinalist or Finalist will be determined based on the judging criteria and notified as per the procedures describe above. Grand Prize Winner must also submit a Travel Release and W9 form and guest of Winner must complete a Liability/Travel Release before any travel documents are prepared or issued.

8 - VOTING: Facebook Public Voting to determine one (1) of the ten (10) Finalists and Public Voting on Energizer to determine the Grand Prize Winner:

FACEBOOK PUBLIC VOTING TO DETERMINE THE ONE (1) FINALIST:
From 1:00:00 pm ET on 3/17/11 until 11:59:59 pm ET on 3/25/11 (the "Facebook Voting Period"), the one hundred (100) Semifinalists and their cause information will be posted at www.facebook.com/energizer. Eligible visitors to the site will be able to vote for the Entry that he/she believes best describes what the Nominee does to bring unstoppable energy to their quest to make a difference in their community and/or around the world (using the criteria noted above). You must be a legal resident of the 50 U.S./D.C. and 13 years of age or older to place a vote.  In order to place your vote for a Nominee hit the “Like” button on Facebook next to that Nominee.  The one (1) Nominee with the highest number of valid votes (“Likes”) at the end of the Facebook Voting Period will be deemed a Finalist (subject to verification).  In the event of a tie, the Semifinalists involved in the tie will be reviewed by an independent judge designated by the Sponsor who will serve as a tiebreaker and who will evaluate the entries according to the above judging criteria and select the Finalist on the basis thereof.  Voting is limited to one (1) vote per person per Semifinalists.  Subsequent votes by a single person in excess of stated maximum will be disqualified.  Semifinalists may vote for themselves.  All online voting will be under the supervision of the Sponsor, whose decisions are final in all matters relating to this Contest. Votes that do not comply with the Official Rules or these requirements, or that result from fraud or collusion, may be disqualified in Sponsor’s sole discretion.  If a Semifinalist is found to have engaged in such fraud or collusion, in Sponsor’s opinion, he/she will be disqualified as a Semifinalist and will not be eligible to win a prize in this Contest.

PUBLIC VOTING TO DETERMINE GRAND PRIZE WINNER ("INDUCTEE"):
From 1:00:00 pm ET on 4/4/11 until 11:59:59 pm ET on 5/13/11 (the “Voting Period”) the ten (10) Nominees described in the corresponding Finalists entries, the Finalists, and their photo will be posted at www.energizer.com/halloffame.  Eligible visitors to the site will be able to vote for the Finalist they feel should be nominated to the upcoming Energizer Keep Going^® Hall of Fame based on what he/she does to bring unstoppable energy to their quest to make a difference in their community and/or around the world. The Finalist with the highest number of valid votes at the end of the Voting Period will be deemed the Grand Prize Winner (“Inductee”) (subject to verification).  For each valid Energizer Keep Going^® Hall of Fame vote cast during this public voting period one dollar ($1) will be donated to the Cal Ripken Sr. Foundation up to a maximum ten thousand dollar ($10,000) donation.  Voting is limited to one (1) vote per person per day.  Subsequent votes in excess of stated maximum per day by a single person will be disqualified.  A "day" shall be deemed to start at 12:00:00 a.m. ET and end at 11:59:59 p.m. ET throughout the Voting Period except for the first day of voting where a “day” shall be deemed to start at 1:00:00 p.m. ET and end at 11:59:59 p.m. ET.  For purposes of the security and integrity of the public voting, each person that votes will need to provide his/her email address in order to have their vote counted.  This data will NOT be used for any purposes other than the security and integrity of the voting process and will not be stored or used for any purpose after the Voting Period has concluded.  Finalists may vote for themselves. All online voting will be under the supervision of the Sponsor whose decisions are final in all matters relating to this Contest. Votes that do not comply with the Official Rules, or that result from fraud or collusion, may be disqualified in Sponsor’s sole discretion.  If a Finalists is found to have engaged in such fraud or collusion, in Sponsor’s opinion, he/she will be disqualified as a Finalist and will not be eligible to win a prize in this Contest.

9 - PRIZES: One (1) Hall Of Fame Grand Prize Contest Winner (“Inductee”): a trip for two (2) to St. Louis, Missouri in or around June, 2011 to be inducted into the Energizer Keep Going^® Hall of Fame, $10,000 cash, winner’s posting on the Energizer site (at Sponsor’s sole discretion), a Keep Going^® Award and a $5,000 donation made by Energizer on behalf of the winner to a charity of winner’s choice (subject to Sponsor’s review and approval). Trip includes roundtrip coach class air transportation for Grand Prize Winner and one (1) guest from a major airport closest to the winner’s home (as determined by Sponsor) to St. Louis and 3 days/2 nights hotel accommodations (one room, double-occupancy). Approximate Retail Value (“ARV”) of Grand Prize package: $18,000.00.  Actual value of prize package may vary based on dates of travel and point of departure.  Any difference between the stated ARV and the actual value, if any, will not be awarded.  Ten (10) Finalist Prizes: a $1,000 donation made by Energizer on behalf of the Finalists to a charity of Finalist’s choice (subject to Sponsor’s review and approval) and a Flip UltraHD™ camcorder. ARV: $1,200 each.  Each Finalist is responsible for all applicable income taxes on Prize.  Total ARV of all prizes: $30,000.00.  No prizes will be awarded for having achieved Semifinalist status.  Prizes will be awarded to Nominee (i.e., Finalists and Grand Prize winner).

Additional Conditions of Grand Prize: If Grand Prize winner resides within 150 miles of St. Louis, MO, he/she will receive the use of a rental car (subject to age or other eligibility restrictions that may apply) in lieu of air travel (no compensation or substitution for difference in value will be awarded). Cash prize will be awarded in the form of a check. Winner and guest must travel together on the same itinerary on dates specified by Sponsor, or prize will be forfeited in its entirety and awarded to an alternate winner (the Finalist who received the next highest number of valid votes in the Voting Period). Certain restrictions/blackout dates may apply. Winner and guest must possess valid ID or other required documentation needed to travel. All other expenses not stated herein as part of the prize, including but not limited to ground transportation and meals, are the winner’s sole responsibility. Travel guest must be the age of majority in his/her state of residence unless guest is the child or legal ward of the Grand Prize winner or parent/legal guardian of winner, and he/she (or winner, if guest is winner’s child or legal ward) must sign and return a liability/publicity release prior to the issuance of travel documents.  If winner is a minor in his/her state of residence, the prize will be awarded on the winner’s behalf to a parent or legal guardian, who must sign all required documents and accompany winner on trip as his/her travel guest. If Grand Prize winner elects to travel without a guest, no additional compensation will be awarded.  Photographs of the winner will be taken and will become the property of the Sponsor; winner will be required to execute a release to that effect. Winner is responsible for all applicable income taxes on Grand Prize.  Charitable organization chosen by winner must have 501-3C status.  If potential winner cannot accept prize as stated, the prize will be forfeited and awarded to an alternate winner (the Finalists who received the next highest number of valid votes in the Voting Period.

10 - CONDITIONS OF ENTRY: By entering and/or accepting a prize, all participants agree that Energizer, its parent company, affiliates, subsidiaries and advertising and promotion agencies, including but not limited to Marden-Kane, Inc., Facebook, and the officers, directors, and employees of each of the foregoing (“Releasees”) shall have no liability whatsoever for any injuries, losses, or damages of any kind resulting from or in connection with the acceptance, possession, use or misuse of such prize or with participation in this Contest or in prize-related activities (including, without limitation, any travel related hereto). Participants further agree that the Releasees are not responsible for the following: (i) electronic transmissions, entries, votes or submissions that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected or not received by Sponsor or its agents for any reason, (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures or human error that may occur in the transmission, receipt or processing of entries, votes or related materials, or for destruction of or unauthorized access to, or alteration of, entries, votes or related material, (iii) failed or unavailable hardware, network, software or telephone transmissions, damage to entrants’ or any person’s computer and/or its contents related to or resulting from participation in this Contest, or causes beyond Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Contest; (iv) any entries or votes submitted in a manner that is not expressly allowed under these rules (all such entries/votes will be disqualified); (v) printing errors in these Official Rules or in any advertisements or correspondence in connection with this Contest: or (vi) cheating or fraud by any participant. Sponsor reserves the right, in its sole discretion, to cancel or suspend this Contest should virus, bugs, fraud or other causes beyond the control of the Sponsor corrupt the administration, security or proper play of the Contest and in such case to award the prizes based on the eligible, non-suspect votes received as of the date of cancellation.  CAUTION:  ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS.  SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

11 - GENERAL CONDITIONS: By accepting a prize, winners (or his/her parent or legal guardian if appropriate) consent to the use of winner’s name, photograph, other likenesses and limited biographical information for advertising, promotional or trade purposes, including but not limited to online announcements, in commerce and in all media worldwide without limitation or additional compensation, except where prohibited by law.  Contest subject to all applicable federal, state and local laws and regulations.

12 – DISPUTES: By participating, participants agree that (a) any and all disputes, claims and causes of action arising out of, or connected with, this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Missouri; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including but not limited to costs associated with entering this Contest but in no event attorneys’ fees; and (c) to the extent allowed by applicable law, under no circumstances will participants be permitted to obtain awards for, and participants hereby waive, all rights to claim, punitive, incidental and/or consequential damages and/or any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official rules, participants’ rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of Missouri, without giving effect to any choice of law or conflict of law rules (whether of Missouri or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than Missouri.

2 - HOW TO ENTER: You will receive one (1) entry into the Sweepstakes for each valid Nomination submitted into the Keep Going^® Hall of Fame Contest (“Contest”) and indicate on the submission form that you heard about the Contest via the Energizer Bunny Facebook Fan Page (“Sweepstakes Entry”).  See Official Rules for the Contest at www.energizer.com/halloffame for limitations on Nominations and all other details of Contest participation.  By entry into the Sweepstakes and/or acceptance of a prize, participants agree to comply with and be bound by these "Official Rules" and the decisions of the Administrator which are final and binding in all respects.  Failure to comply with these Official Rules may result in disqualification from the Sweepstakes, at Sponsor’s discretion.  Only valid Contest Nominations submitted in accordance with the Official Rules of the Contest will be eligible to receive an entry in this Sweepstakes.  Entries become the property of the Sponsor and will not be acknowledged except as provided herein.  Any entry information collected in connection with the Sweepstakes shall be used only in a manner consistent with the consent given by entrants at the time of entry into the Contest, with these Official Rules, and with Sponsor’s Online Privacy Policy which can be found at www.energizer.com.  The entry information is shared with Sweepstakes Administrator for the sole purpose of winner selection and notification, and the fulfillment of the prizes.

3 - ELIGIBILITY:  This Sweepstakes is open only to legal residents of the 50 United States including the District of Columbia, who are 18 years of age and older at the time of entry. 4 - PRIZES:  Four (4) Grand Prizes: a personally and individually autographed Cal Ripken, Jr. baseball.  Approximate Retail Value (“ARV”) of Grand Prize: $30.00 each.  Total ARV of all prizes: $120.00.  All prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied, in fact or in law, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose) by Sponsor.  No substitutions, cash equivalents, or transfer of prize permitted except at the sole discretion of the Sponsor, who reserves the right to substitute a prize with one of equal or greater value, if the advertised prize becomes unavailable.  If a winner is unable to accept the prize for any reason, the Sponsor shall have no further obligation to the winner and prize will be awarded to an alternate winner in a random drawing from among the remaining eligible Sweepstakes entries.

5 - SELECTION OF WINNERS: Winners will be selected in a random drawing from among all eligible Sweepstakes entries. Drawing will be conducted on or about 2/24/11 under the supervision of Marden-Kane, Inc. (“Administrator”), an independent judging organization. Odds of winning a prize depend on the total number of eligible Sweepstakes entries.

6 - NOTIFICATION OF WINNERS: Winners will be notified via e-mail, phone and/or postal mail within approximately two (2) weeks of prize drawing. Each winners (or his/her parent or legal guardian if winner is a minor in his/her state of residence) may be required to execute and return an Affidavit of Eligibility and Liability and where legal, Publicity Release within fourteen (14) days following the date of issuance of notification. Non-compliance within this time period or return of any prize/prize notification as undeliverable may result in disqualification and selection of an alternate winner in a random drawing from among the remaining eligible Sweepstakes entries.

7 - CONDITIONS OF ENTRY: By participating in this Sweepstakes, all participants agree that Energizer, its parent company, affiliates, subsidiaries and advertising and promotion agencies, including but not limited to Marden-Kane, Inc., Facebook and the officers, directors, and employees of each of the foregoing (“Releasees”) shall have no liability whatsoever for any injuries, losses, or damages of any kind resulting from or in connection with the acceptance, possession, use or misuse of such prize or with participation in this Sweepstakes.  Participants further agree that the Releasees are not responsible for the following: (i) electronic transmissions, entries or submissions that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected or not received by Sponsor or its agents for any reason, (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures or human error that may occur in the transmission, receipt or processing of entries or related materials, or for destruction of or unauthorized access to, or alteration of, entries or related material, (iii) failed or unavailable hardware, network, software or telephone transmissions, damage to entrants’ or any person’s computer and/or its contents related to or resulting from participation in this Sweepstakes, or causes beyond Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Sweepstakes; (iv) any entries submitted in a manner that is not expressly allowed under these rules (all such entries will be disqualified); (v) printing errors in these Official Rules or in any advertisements or correspondence in connection with this Sweepstakes: or (vi) cheating or fraud by any participant. Sponsor reserves the right, in its sole discretion, to cancel or suspend this Sweepstakes should virus, bugs, fraud or other causes beyond the control of the Sponsor corrupt the administration, security or proper play of the Sweepstakes and in such case to award the prize based on the eligible, non-suspect votes received as of the date of cancellation.  CAUTION:  ANY ATTEMPT BY AN INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS.  SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY AND SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.    

8 - GENERAL CONDITIONS:  By accepting a prize, each winner (or his/her parent or legal guardian if winner is a minor in his/her state of residence) consents to the use of winner’s name, photograph, other likenesses and limited biographical information for advertising, promotional or trade purposes, including but not limited to online announcements, in commerce and in all media worldwide without limitation or additional compensation or notice, except where prohibited by law.  The Sweepstakes is subject to all applicable federal, state and local laws and regulations.

12 – DISPUTES: By participating, participants agree that (a) any and all disputes, claims and causes of action arising out of, or connected with, this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in Missouri; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including but not limited to costs associated with entering this Sweepstakes but in no event attorneys’ fees; and (c) to the extent allowed by applicable law, under no circumstances will participants be permitted to obtain awards for, and participants hereby waive, all rights to claim, punitive, incidental and/or consequential damages and/or any other damages, other than out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official rules, participants’ rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of Missouri, without giving effect to any choice of law or conflict of law rules (whether of Missouri or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than Missouri.
